Expert Legal Counsel Location: Berlin A PE-backed software business at an exciting inflection point is looking for an Expert Legal Counsel to join their lean, high-performing Legal team. This is a senior individual contributor role where you will play a key part in a significant upcoming corporate transaction, drive M&A workstreams, and provide broad commercial legal support across the business. Key Responsibilities: Lead on a significant corporate transaction - assessing current documentation, identifying gaps, and managing due diligence workstreams. Collaborate closely with external counsel on M&A and corporate transactional matters. Lead on corporate governance and corporate housekeeping activities, ensuring all documentation is accurate and exit-ready. Support day-to-day commercial legal requests through an internal ticketing system, covering a broad range of legal matters. Work cross-jurisdictionally, applying strong knowledge of either English Common Law. Requirements: 6+ years of post-qualification experience with a strong Corporate / M&A background. Qualified in either England & Wales or Germany. Fluent in both German and English - essential. Proven transactional experience, ideally within a PE-backed or exit environment. Strong corporate governance expertise with the ability to manage housekeeping independently. Comfortable operating as a senior individual contributor within a small, agile team.
