Legal Counsel Capital Markets
Meet Our Recruiter
Callum Walsh
About the Role
Legal Counsel, Capital Markets
The Opportunity
Tired of legal getting looped in after the big decisions are already made?
This in-house role flips that. You'll advise leadership directly on how capital markets obligations shape strategic decisions, not just sign off on paperwork once the direction is already set. You'll own the legal side of the business's public markets activity end to end: disclosure, contracts, policy, and everything in between. And you'll be the person regulators and outside counsel come to directly, not someone relaying instructions up and down a chain.
The Role
- Advise on ad hoc disclosure, insider dealing rules, directors' dealings, and continuing disclosure duties
- Sign off on legal content in investor-facing publications, including annual and quarterly reports and market announcements
- Flag legal exposure in proposed business decisions by interpreting the relevant regulatory landscape
- Own the drafting and negotiation of capital markets contracts, keeping templates and precedents current
- Build internal policies, workflows, and training to keep the business ahead of regulatory change
- Act as the main point of contact for outside counsel and regulators
The Company
Our client has an established presence in international capital markets. Legal sits close to the business here, with a direct line into how decisions get made at the top, rather than being treated as a sign-off function bolted on at the end.
What You'll Need
- Qualified lawyer in Germany, with First and Second State Examinations
- Solid post-qualification experience in capital markets law, gained in-house
- Experience handling high-stakes, complex legal matters at a strategic level
- Track record advising senior leadership and influencing decisions at the top
- Experience working across borders and directing external legal counsel
