About the Role

Expert Legal Counsel
Location: Berlin

A PE-backed software business at an exciting inflection point is looking for an Expert Legal Counsel to join their lean, high-performing Legal team. This is a senior individual contributor role where you will play a key part in a significant upcoming corporate transaction, drive M&A workstreams, and provide broad commercial legal support across the business.

Key Responsibilities:

  • Lead on a significant corporate transaction - assessing current documentation, identifying gaps, and managing due diligence workstreams.
  • Collaborate closely with external counsel on M&A and corporate transactional matters.
  • Lead on corporate governance and corporate housekeeping activities, ensuring all documentation is accurate and exit-ready.
  • Support day-to-day commercial legal requests through an internal ticketing system, covering a broad range of legal matters.
  • Work cross-jurisdictionally, applying strong knowledge of either English Common Law.

Requirements:

  • 6+ years of post-qualification experience with a strong Corporate / M&A background.
  • Qualified in either England & Wales or Germany.
  • Fluent in both German and English - essential.
  • Proven transactional experience, ideally within a PE-backed or exit environment.
  • Strong corporate governance expertise with the ability to manage housekeeping independently.
  • Comfortable operating as a senior individual contributor within a small, agile team.
  • Familiarity with the basic principles of both Common Law and German law frameworks is advantageous.

In-House Counsel - Litigation Houston, TX Our client is a respected engineering business looking for a commercially savvy In-House Counsel to take the wheel on litigation management. This is a role for someone who thrives on strategy - you won't be in the courtroom yourself, but you'll own every case that gets there. Working closely with senior leadership and external counsel, you'll be the internal expert who keeps disputes moving efficiently, costs controlled, and risk well managed.
